I am having the same problem.After a bit of searching on Google I have discovered that the problem is being caused by my SiS 900 Fast Ethernet Card. This started when I contracted the Klez32 virus. So, I suggest updating your virus software and running a scan.... though after doing this in our office it only has a 50% success rate.

: : Almost everytime I try to enter the internet (usually immediately after my modem makes contact) I get a blue screen with this message: An exception OE has occurred at 0028:C2A2C1NR in VxD tcpip(01)+00001EBE. This was called from 0028:C001B010 in VxD NDIS(01)+0000378C. Sometimes I can break out of it by hitting escape several times, or sometimes it just causes my computer to automatically reboot. WinME
