Windows cant find "Windows root\system32&

I have tried to upgrade an old laptop from W98 to XP Home and this error has occured, leaving me stumped as which ever button I press just re-starts the computer. I've tried re-starting the machine with the old Windows 98 disk in and that does'nt work.

What can I do, please HELP !
