I have upgraded over 150 Desktops or laptops from Win9x to Windows 2000 and just got that error for the first time today. I then tried to run the upgrade only report and it gets the error there. It must be one of the software packages that Windows is trying to verify is compatible with the O/S. Try to run just the upgrade report (d:\i386\winnt32.exe /checkupgradeonly) and see if you get the error then. I would unistall some things that you know are not compatible with the upgrade .....such as Norton Antivirus or any proprietary manufactured software.

I have the exact problem when trying to update to Windows XP Professional from Windows 98 SE. However my additional message is WINNT 32 caused an invalid page fault in module KERNEL32.DLL at 0197.bff7b9f5. I hope someone knows how to resolve this!
