I had the same problem with ME, even after i closed all programs running in the background in the normal way it still would not run, but then i found out that not all the programs running in the background show up on the CTRL/ALT/DELETE list, there are hidden programs you can`t close in this way.
After a lot of searching i found a small program called ENDITALL, downloaded from WWW.NHYRVANA.COM/SCANDISC.HTML.
Now after using this program the scandisc works every time and it`s free.

Restart in Dos mode, type SCANDISK press enter and sit back and wait anything from an hour to complete the task.
Try it,it works.

The point of safe mode is nothing runs in the background.
Get a copy of the floppy based norton tools and have it fix the problems from floppy then install norton to replace scandisk and you will never have this problem again.

There are programs running in the background that must be shut off.
Pressing the ctrl, alt, and delete keys simultaneously brings up the close program screen. Close all programs but explorer and systray. You will have to repeat this process several times. Until the only two that are left are explorer and systray. You will now be able to run scan disk and or disk defrag without it restarting.

This is normal for Windows 98. You can try your scandisk in Safe Mode and can even run it in DOS. However, you will probably get the same problem.

Newer operating systems do not generally exhibit this behavior. Specifically, Windows XP and 2K have advanced defragment and scan disk capabilities. Other third-party applications work with Windows 98 and can be used in subsitute.

Sorry for the bad news.
